Scope These sales terms cover the purchase of supplier product licenses by individuals or companies. TransferUSD is the supplier of SaaS ("Software as a Service") or digital products, which means that when you purchase a license, you are buying the right to use the products provided by the supplier, and the supplier is responsible for delivering the product. When purchasing supplier licenses, these sales terms should establish an agreement between you (the buyer) and TransferUSD. For detailed information on how TransferUSD handles your personal data when placing an order, please refer to TransferUSD's Privacy Policy. In our Privacy Policy, you can also find information on how we use cookies. The rules for using the Transferusd.com website and its services can be found in the Terms of Use. The current versions of the Privacy Policy and Terms of Use are always available on the website. Please read these sales terms, as well as the Privacy Policy and Terms of Use, carefully. By placing an order with us, you confirm that you have read, understood, and agreed to be bound by these documents and each of their revised versions.
Definitions ● Buyer or You - an individual or company purchasing supplier product licenses, ● License - the license provided by TransferUSD as a record merchant (for the supplier's products), ● Product - SaaS ("Software as a Service") or digital goods provided by the supplier, ● *Sales Terms* or Agreement - these sales terms, ● TransferUSD - UNITED DIGITAL HOLDING LLC, a company registered in Massachusetts, USA, with file number: 001394648, address: 63 Shore Rd., Ste 12 Winchester MA 01890 ● Supplier - an individual or company selling SaaS and digital product licenses based on a specific contract signed between TransferUSD and the supplier.
Subject of the Agreement The subject of this agreement is the sale of supplier product licenses to the buyer.
Performance of the Agreement ● The buyer can only purchase a license for specific supplier products from TransferUSD if the supplier has previously signed a supplier agreement with TransferUSD regarding those specific supplier products. ● The buyer begins the process of purchasing a license by using the supplier's website after reading the product information available on the supplier's website. All product information is provided by the supplier. ● TransferUSD is responsible for collecting applicable taxes from the buyer based on the tax jurisdiction of the purchase. Therefore, please be aware that the prices displayed on the supplier's website may require additional taxes. The final price will always be visible when confirming the payment. ● For EU resident companies, you need to access the TransferUSD website from an IP address in your country/region and use your valid VAT registration number during the checkout process (we use your company's tax number to verify if you are eligible for exemption). Therefore, the final price includes this exemption (if applicable). ● For U.S. buyers, you agree that you do not hold a tax-exempt certificate within the jurisdiction of your purchase of product licenses. ● After the buyer places an order and confirms the purchase on the supplier's website, they will be redirected to the TransferUSD website to provide the necessary details to complete the purchase, including: first name, last name, email address, and postal code if required. If the purchase is made by a company, additional company details are also required: company name, company mailing address, and company tax number. ● Payment details, such as credit card numbers, are always provided directly to the payment service provider. Depending on availability, the payment service provider can be PayPal, GPay, Apple Pay, BlueSnap, or another payment service provider, and this information will never be disclosed to TransferUSD. ● Please note that TransferUSD is only a record merchant. Before initiating an order and payment, be sure to review the seller's relevant terms. ● If it's a one-time purchase of a license, once we receive confirmation of your payment for the product from the payment service provider, we will send you a purchase invoice to your email. ● If you are purchasing a license subscription, we will send you an email containing a link to your buyer dashboard, where you can manage your subscription and download invoices. ● On the invoice, you can find detailed contact information for the supplier's technical support and customer service. If you encounter any issues with the purchase, payment, or the product itself, please contact the supplier directly. If you require a refund, contact TransferUSD first before requesting a refund or raising a charge dispute with your bank, credit card issuer, or payment service provider. ● You are responsible for providing accurate information when purchasing a license. We do not assume any liability for any inconvenience caused by inaccurate information provided by you. ● If we suspect that you are engaged in illegal activities or have failed to comply with any provisions of this agreement, we reserve the right to immediately terminate this agreement and revoke your right to use the license.
Buyer's Statement ● You agree to purchase product licenses for your own use. The buyer is prohibited from reselling product licenses sold through TransferUSD to any third party. ● You agree that you have read and understood all product information provided by the supplier, including the technical requirements for using the product. You hereby declare that you meet the minimum system requirements to use the product for which you have purchased a license. ● You are responsible for backing up your systems, data, and any products purchased through TransferUSD. ● You agree to contact the supplier's technical support and customer service departments listed on the payment invoice for additional support. ● You agree to take advantage of warranties provided by the product developer, licensor, or supplier, and you should refer to the documentation accompanying the product.
Refund Policy ● TransferUSD acts as a record merchant for various supplier products. Therefore, if you believe there is a valid reason for a refund, please contact the supplier's technical support and customer service first. Detailed contact information for the supplier's technical support and customer service is always provided on your invoice. If you encounter any issues with your refund, you can also contact us directly using one of the methods described in the "Contact Information" section below. ● You agree to contact your supplier's technical support, customer service, and us before requesting a refund from your bank or credit card issuer, or disputing charges with your payment provider. ● Please note that when accessing digitally deliverable content immediately, you agree that once access is granted, you forfeit the right to exit this agreement and request a refund. ● Refunds are subject to specific circumstances within 30 days from the date of purchase. Common reasons for refunds include licenses or products not matching their advertised description or having defects. The buyer must provide detailed information explaining why a refund is necessary in their specific case. Refunds may be denied when signs of theft or refund abuse are detected. ● If we determine that you are disputing legitimate charges by requesting a refund, TransferUSD reserves the right to prohibit your future use of our services.

Liability ● In no event shall TransferUSD be liable to the buyer or any third party for any loss of profits or any form of indirect, special, incidental, or consequential damages arising from any litigation related to this agreement, whether based on a breach of this agreement, tort (including negligence), or other actions, even if the possibility of such damages has been advised. ● In no event shall TransferUSD be liable for factors beyond its control, whether direct or indirect, including but not limited to strikes, labor disputes, accidents, acts of war or terrorism, civil or military disturbances, nuclear disasters or natural disasters, as well as interruptions, losses, or failures of utilities, communications, or computer (software and hardware) services. It is understood that TransferUSD shall make reasonable efforts, consistent with industry standards in the software industry, to restore performance as soon as possible in such circumstances. ● The buyer agrees to indemnify TransferUSD and its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns from and against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from any act or omission of the indemnifying party, its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this agreement. This indemnification shall survive the termination of this agreement. ● TransferUSD assumes no responsibility for the buyer or any third party with respect to the products of the supplier and the licenses for the products (including their characteristics, quality, and legality). ● The buyer has an obligation to not infringe and assumes all responsibility, including financial, liability, and obligations, for any potential intellectual property infringement (copyright, patents) and privacy law violations (CCPA, GDPR, other consumer privacy laws) that may occur in the use of the supplier's products and licenses.
Revisions to these Sales Terms TransferUSD may periodically modify these sales terms. If we make any modifications to these sales terms, we will change the "Last Updated" date above. You are obligated to review the current version of the sales terms before placing a new order. Revised sales terms, once published, will apply to any future purchases made from TransferUSD. The prior wording of the sales terms remains effective for orders placed during its validity.
Final Terms ● This agreement shall govern and define the relationship between the buyer and TransferUSD. All transactions related to these sales terms are subject to the laws of the state of Massachusetts, USA. ● Both parties commit to seeking an amicable resolution to any disputes arising from the performance of these sales terms. ● Any disputes or allegations arising from or related to these sales terms or their performance, breach, or termination shall ultimately be resolved through formal arbitration in the state of Massachusetts, USA. ● If any provision of this agreement is deemed invalid or unenforceable in whole or in part, all other provisions shall remain in full force and effect, and the invalid or unenforceable portion shall be separated from the remainder of this agreement. ● However, if a court with proper jurisdiction deems any provision of these terms of use to be invalid or unenforceable, the parties agree that the court shall endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these sales terms shall remain fully effective. ● TransferUSD's forbearance or failure to take action regarding a breach of these terms and conditions does not waive TransferUSD's ability to take action against subsequent or similar violations. Likewise, our suspension or refusal to exercise or enforce any right or provision of this agreement does not constitute a waiver of that right or provision.
